The Park Slope Food Coop began selling food to its members in February 1973 as an unincorporated association. In May 1977 the Coop incorporated under the New York State Cooperative Corporations law. In July of 1977 the collectively owned net worth of the Coop, $10,566, was transferred to the newly started corporate books. The Membership Office, staffed by a combination of paid Coop staff coordinators and member workers, can answer your Coop and Membership related questions, take photos for Coop Membership Cards, and assist prospective members with the joining process.

Childcare Hours

Daily: 8:00 am – 8:45 pm

The Childcare room on the second floor of the Coop and is available to the children of members who are working and shopping. Our childcare space is limited to 12 children when all three childcare workers are present and to 10 children when only two childcare workers are present, so we cannot guarantee there will always be space available. The children of members who are doing workshifts take precedence over the children of members who are shopping. If you must have guaranteed childcare, please consider making other arrangements.

Valet bike parking for Coop Members: Secure valet bike parking is available for Coop members in front of the Coop, rain or shine, every Saturday and Sunday from April 2 through November 20 between 1 pm and 7:45 pm.

Car Parking on the Street

Metered and non-metered car parking is available on the street throughout the neighborhood, though space can be tight. The Coop offers a “cart return” service: members will walk you and your cart of groceries to your parked car—so long as it is parked within the cart return service area—and return the cart to the Coop for you.

Frequently Asked Questions

Q: Can anyone shop at the Coop?

A: Only members may shop at the Coop, but membership is open to all.

Q: Do you have to live in Park Slope to join?

A: No. Our members come from all over Brooklyn as well as the rest of New York – some even come from out of state!

Q: How much does it cost to join?

A: All members must pay a non-refundable $25.00 joining fee and contribute a $100.00 investment to the Coop. If you terminate your Coop membership your Investment will be refunded to you upon your request. Each adult member of your household will be asked to make these member payments. Extended payment plans are available upon request. For members who receive certain kinds of income-based assistance, the joining fee is $5 and the refundable member investment is $10.

Q: Does the Coop accept cents-off coupons? Food Stamps? WIC?

A: The Coop accepts manufacturers’ cents-off coupons for any product that we sell. We also accept food stamps. However, we are not authorized to accept WIC checks.

Q: Can I really save money shopping at the Coop?

A: Depending on what you buy, it is possible to save quite a lot. Our most recent price comparison survey indicates that Coop members save 20- 40% off of their weekly grocery bill

Q: What does the Coop carry? Does the Coop carry organic food? Does the Coop carry only organic food?

A: The Coop carries a wide variety of products (more than 5000 items) to serve a diverse population with a variety of needs. We sell an excellent selection of organic and conventionally-grown fruits and vegetables, groceries, health food, vitamins, household items, pet products, housewares, office supplies, gift items and more for only 21% above wholesale.

Q: Do all members have to work at the Coop?

A: Every member of the Coop must work at the Coop. The work requirement is 2 hours and 45 minutes once every four weeks. At this rate, every member works 13 times per calendar year.

Q: What if I am disabled?

A: The Coop has many different types of work available. If a member has specific requirements, we work with that person to find a suitable work assignment. Members can be exempt from working at the Coop if they are dealing with a permanent or temporary condition that makes them unable to work or if they are caring for someone who is ill or disabled.

Q: Why do all members have to work?

A: One of the Coop’s goals is to provide food to the member-owners that is both low priced and high quality. Low prices come primarily from saving money in the area of payroll expense. Payroll is the biggest expense of any store, including this one. The fact that our members do about 75% of the work, thereby keeping our payroll low, is the main reason that the members of this Coop pay low prices. Another goal accomplished when members are doing 75% of the work of the Coop is a feeling of being a member-owner that one cannot get from merely investing one’s money.

Q: Can I pay more and not work?

A: No. We have only one class of membership and everyone pays the same prices and fulfills the same requirements.

Q: What can I do with my children while I am shopping or working?

A: The Coop provides free childcare to children of Coop members while their parent/guardian/babysitter is working and/or shopping at the Coop. Our childcare space is limited to 12 children so we cannot guarantee there will always be space available. If you require guaranteed childcare for your children while you are working and/or shopping your may want to make other arrangements

Q: Is the Coop a place where I can participate and be part of a community?

A: Most members do their workslots as part of teams, called “squads.” Squads meet as a group once every four weeks, giving members a chance to get to know one another. This facilitates members feeling a part of the Coop community. Members can be quite loyal to their squads.

Major decisions for the Coop are made or approved by the monthly General Meeting ? a meeting open to all Coop members. All members who attend the meeting have one vote each in this face-to-face setting. Members are actively encouraged to come to General Meetings and participate. The Coop also holds parties, concerts, dances and other events. The complex role of member-as-worker-as-owner-as-shopper helps most of us develop an identity that includes truly caring about our Coop.

Environmental Policy

As approved by the June 1992 General Meeting
amended by the July 1998 General Meeting

The Coop will strive to support the best products and practices in regard to the health, safety, and preservation of humans, animals, and the overall biosphere that it can achieve.

This is said with a clear understanding that the Coop membership includes people from widely varying cultures, needs, and economic capabilities, which must be accommodated.

Policy on Products

The Coop will:

Maximize provision of foods and cosmetics which are organically and/or regionally grown, cruelty-free and otherwise environmentally benign, although items already carried which do not meet these criteria will continue to be sold.

Sell no products that are irradiated or contain irradiated ingredients.

Sell no products that are genetically engineered or contain products of genetic engineering, except that sales of genetically engineered products shall not be discontinued unless there is a similarly priced equivalent product that is not genetically engineered. Genetically engineered products for which there are adequate substitutes as described above shall be replaced as quickly as possible by the substitute product. The Coop staff, in cooperation with the Environmental Committee, shall work to identify substitute products where none has yet been identified. At this time, as genetically engineered products or products containing genetically engineered inputs are not labeled as such, for the purpose of this policy, products shall be considered to be genetically engineered if they contain non-organically produced ingredients that are known to be commercially available in genetically engineered form, or that are known to be produced with commercially available genetically engineered inputs.

Carry only food on which ingredients are listed; this will include Coop-bagged items after the purchase of new scales with additional printing capacity. Every effort will be made to verify ingredients and claims when suspect.

Make every effort to sell as much food and as many products as possible in bulk, and continue to educate members about bringing reusable bags and containers with them when they shop.
To put this policy into effect, the Environmental Committee will review products currently sold by the Coop. Where products are problematic based on the criteria below, the Committee will investigate environmentally superior alternatives to be sold alongside the original product, and begin to educate members about the product via Gazette articles, signs by the item on the shelf, or handouts, as appropriate.

Environmental Committee members will also informally monitor new products that appear on the shelves, and when questions arise, discuss them with the Coordinators.

Assessment of products shall be based upon but not limited to the following criteria:

Avoiding toxic substances, whether in a product’s ingredients, production process, or use and disposal, particularly (but not limited to) avoiding use of products made with chlorine bleach and petroleum products.

Minimizing disposable products, by seeking durable alternatives and/or alternatives which have recycled content.

Achieving environmentally sound packaging, by avoiding products with excessive packaging and with packaging manufactured with chlorine bleach , toxic inks, or petroleum products and encouraging the ordering of products with recyclable packaging or packaging with recycled content.

Reducing energy use in transportation, by seeking comparable, locally grown products ( and where appropriate, locally produced products) to replace those transported cross country or from other countries.

Avoiding animal testing by seeking products which have not been tested on animals.

Avoiding products which are irradiated or genetically engineered or which contain irradiated or genetically engineered ingredients.

The Committee, in consultation with the coordinators and the membership, shall develop a proposal for supporting corporate responsibility by boycotting products made by companies which have demonstrated extreme levels of environmental irresponsibility, as indicated by their presence on lists such as the “Ten Companies with the Worst Environmental Records” of the Council on Economic Priorities and other similar lists the Environmental Committee may consult, and shall present such proposal to the General Meeting.

In making recommendations, the Environmental Committee shall also take into account these non-environmental factors:

The need to keep the number of distributors to a minimum
Availability of shelf space and how many similar items the Coop carries
Affordability of alternatives
Salability

The Committee will also, semi-annually, bring a list of products it finds of serious concern to the coordinator who is liaison to the Committee, with a recommendation to remove those products, along with the rationale for each recommendation. At that time, attention would be focused more intensively on educating members about the problems with these items.

If the Environmental Committee and the Coordinators cannot easily work out an agreement on removal of any items or substitution of an alternative product, the item would be sent to a Review Committee consisting of :

Two members of the Environmental Committee

Three or four Coop members at large representing a range of interests, for whom it would not be a work slot (see below for recommended selection process)

If the Review Committee could not reach agreement, the item would be sent to the GM for a vote.

Policy on Practices

Coop policy will include the following:

If organic produce is available at the same or a lower price and comparable quality to non-organically-grown produce, we will not carry the non-organically grown item.

When price and quality of two items are comparable and both make environmental claims, the Coop will carry only the environmentally superior product.

The Coop, through the Environmental Committee, will conduct periodic waste, energy and water use audits and will seek pro bono technical assistance from the membership to do so. The results of this audit process will inform the Coordinators and Membership about whether practices in each of these areas could be improved and what would be required to do so.

The Coop will seek to support members who want to avoid auto use in the conduct of Coop business.

The Coop will use recycled paper products in both the office and store, including but not limited to : copy paper, computer paper, envelopes, ruled pads, flyers, Gazette, etc. Every effort will be made to use products which contain a high percentage of post-consumer recycled content, and which are not chlorine-bleached.

The Coop will expand its present office-waste recycling program and cardboard recycling program to include a source separated recycling program for all waste generated within the Coop (recognizing that there may not always be feasible markets for all materials).

The Coop, through the Environmental Committee will make every effort to educate members on environmental concerns through Gazette articles and reprinted handouts, fact sheets, orientation sheets, displays, lectures, and workshops.

The Environmental Committee shall send a letter to the manufacturer and supplier of any product that the Coop decides to remove, stating our actions and reasons.

Policy Revisions

This policy will be regularly reviewed and revised based on input from all Coop constituencies, on experience in implementing the policy, and on new information and changing environmental realities.

Suggested process for selecting members of Reviewing Committee from general Coop membership: After a discussion between coordinators and the Environmental Committee to identify what some of the different interests might be, a Gazette article could put out a call for volunteers representing these interests.

Amended Bylaws of Park Slope Food Coop, Inc.

(amended as of 3/31/2015)

ARTICLE I

TYPE OF COOPERATIVE

The Park Slope Food Coop, Inc. is incorporated under the New York State Cooperative Corporations Law as a general non-stock cooperative corporation.

Article I section 3 paragraph (d) of the New York State Cooperative Corporations Law states “A cooperative corporation shall be classed as a non-profit corporation, since its primary object is not to make profits for itself as such, or to pay dividends on invested capital, but to provide service and means whereby its members may have the economic advantage of cooperative action…..”

ARTICLE II

MEMBERS/OWNERS

  1. Members/Owners: According to Article I section 3 of the New York State Cooperative Corporations Law “the term ‘member’ means the holder of a membership in a cooperative, whether evidenced by a certificate of membership or by a certificate of stock or by other authorized means of identification.” The terms “member” and “owner” and “member/owner” shall be interchangeable and for the purposes of this cooperative these terms all mean the same thing. The terms “membership”, “ownership” and “membership/ownership” shall be interchangeable and for the purposes of this cooperative these terms all mean the same thing.
  2. Eligibility: Membership/Ownership shall be open to any natural person who !agrees to comply with the membership/ownership requirements that the Board of Directors may adopt by resolution.
  3. Member/Owner Equity Investments: The Park Slope Food Coop, Inc. shall require that each member/owner make, within a reasonable time after joining the cooperative, a non-interest bearing Member/Owner Equity Investment in the cooperative as the statutory equivalent of the holding of a share of stock. The Board of Directors by resolution shall set the amount of the Member/Owner Equity Investment.
  4. Ownership, Termination of Ownership, Return of Member/Owner Equity Investments, Capital Contributions: The cooperative is owned by those persons who have a Member/Owner Equity Investment on record with the cooperative and those members who have recently joined and have not yet made their Member/Owner Equity Investment. Termination of ownership occurs when either the member/owner formally requests and the cooperative processes the return of her or his Member/Owner Equity Investment or when the member/owner makes a capital contribution of the Member/Owner Equity Investment to the cooperative. In either case, the member/owner simultaneously agrees to cease all membership activities.
  5. Failure to meet membership/ownership requirements: In the event that a member/owner fails to meet the membership requirements and/or rules of conduct as set by the cooperative, participation in any and/or all activities in the cooperative could be restricted or curtailed even though the person might still be an owner due to her or his continuing investment in the cooperative as evidenced by her or his Member/Owner Equity Investment.
  6. Member/Owner Fee: The Board of Directors may require that each member pay a membership fee in amounts that the Board of Directors by resolution shall set.
  7. Transfer of Membership: Membership shall be nontransferable.

ARTICLE III

BOARD OF DIRECTORS

  1. There shall be a Board of Directors consisting of five persons elected by the membership at the annual meeting, and one of the paid coordinators, ex officio.
  2. The directors elected at the first annual meeting shall, by lot, be divided into three classes as nearly equally as possible. Directors in the first class shall serve for a term of one year. Directors in the second class shall serve for a term of two years. Directors in the third class shall serve for a term of three years. Thereafter, all directors shall serve for a term of three years.
  3. Directors shall be subject to removal upon charges as provided in Section 63 of the Cooperative Corporation Law.
  4. The Park Slope Food Coop Inc shall indemnify and hold harmless any individual who has served or who is serving as an officer or Board member against claims or liabilities arising from such service, and shall reasonably reimburse expenses incurred in defending against such claims or liabilities, provided they do not arise from negligence or willful misconduct of the officer or Board member.

ARTICLE IV

OFFICERS

  1. There shall be the following officers of the corporation: President, Vice-President, Secretary and Treasurer. The office of Secretary and Treasurer may be held by one person as stated in section 64 of the Cooperative Corporations Law.
  2. Officers shall be elected by the Board of Directors of the corporation at the meeting held in the month of June.
  3. The President and Vice-President shall be, at the time of election, directors of the corporation.
  4. Officers of the corporation may be removed by a two-thirds vote of the Board of Directors present and voting at a meeting held after due written notice to all members of the corporation setting forth the proposed action, the charges upon which it is based, and the purposes of the meeting.

ARTICLE V

EMPLOYEES

  1. The corporation shall employ one or more coordinators upon such terms and conditions as the directors shall, by resolution, approve. The Coordinators shall be Chief Administrative Officers of the corporation and shall administer the affairs of the Corporation subject to the direction of the directors. The directors may, by resolution, authorize the Coordinators to take such action as they shall deem necessary for the good of the corporation as cannot well await the next meeting of the directors, subject to ratification by the directors, and may, by resolution, confer such other powers and duties on the Coordinators as they deem proper, to the extent permitted by law. The Coordinator with greatest seniority shall be a member of the Board of Directors, ex officio, provided, however, that in the absence of such Coordinator, another Coordinator, with the greatest seniority of those Coordinators present, shall serve.
  2. The corporation may, by resolution, employ such other persons or firms for such purposes and upon such terms and conditions as the Board shall deem appropriate.

ARTICLE VI

MEETINGS

  1. The annual meeting of the membership of the corporation shall be held on such day in the month of June as the directors shall fix.
  2. The Board of Directors shall meet at least ten times each year on such dates as it shall appoint and at such other times as it, by resolution, shall fix. The membership shall be given notice of each such meeting prior to such meeting. The directors shall inform those members who shall be present of the nature of the business to come before the directors and receive the advice of the members on such matters. The portion of the Board of Directors meeting that is devoted to receiving the advice of the members shall be known as the General Meeting and is not in any way intended to be one of the “meetings of the membership” that is referred to elsewhere in these bylaws. The members who gather to give advice to the directors may choose to vote in order to express their support or opposition for any of the issues that have come before the meeting.
  3. A quorum for all meetings of the directors shall be one-third of the directors. A quorum for all meetings of the membership, including the annual meeting, shall be 100 members of such body. Each member is entitled to one vote.
  4. Except as otherwise provided, all matters shall be decided by a majority vote of those present and voting. All votes shall be cast in person and no proxy voting shall be permitted, except at and only at annual meetings provided, however, that the Board may, by majority vote, direct that a mail ballot be taken on any matter.
  5. Except as otherwise provided, all parliamentary matters shall be governed by Roberts Rules of Order.

ARTICLE VII

ELECTIONS
Election of officers shall be held at the June meeting of the directors from among those candidates nominated from the floor at such meeting. In the case of an officer position becoming vacant, there shall be an election held at the next directors’ meeting to fill the vacancy for the unexpired portion of the term.
In the case of a vacancy on the Board of Directors, there shall be an election held at a regular Board of Directors meeting to fill the vacancy. Such meeting shall be held no less than 30 days nor more than 60 days after the vacancy occurs. The Board may hold the vacancy open to be filled at the next Annual Meeting provided that the vacancy is created with less than six months remaining before the Annual Meeting and provided there is only one vacancy. A Director elected to fill a vacancy shall serve only until the next Annual Meeting, at which meeting the membership shall elect a director to serve for the balance of the term.

The ballot used for the Directors election shall provide for voting ‘yes’ or ‘no’ or ‘abstain’ for each candidate. Any candidate who receives more ‘no’ votes than ‘yes’ votes is deemed ineligible for election. Directors elected at the Annual Meeting shall be elected by a plurality of ‘yes’ votes cast unless the candidate has been deemed ineligible pursuant to this paragraph.

ARTICLE VIII

COMMITTEES
The directors may, by resolution, establish such standing or special committees for such purposes and periods of time as they may deem appropriate.

ARTICLE IX

COOP OPERATION

    1. Except as otherwise provided herein, the administration and operation of the Coop shall be vested in the directors. The directors may, by resolution, adopt rules and regulations covering operation of the Coop, including, without limitation, work requirements for members, accounting and bookkeeping procedures, and disciplinary actions against members, rules and regulations concerning the admission of members, and concerning any other matters they deem appropriate.
    2. The net retained proceeds of the Coop, after expenses and a reasonable allowance for reserves, may be distributed at least once every twelve months to the membership by uniform distribution on such basis as the directors shall, by resolution, fix. The directors may from time to time adopt rules and regulations for such distributions, provided, however, that no such rule or regulation shall provide that the cash portion of any such patronage refund shall exceed the proportion of refund permitted under the applicable provisions of the Internal Revenue Code.

ARTICLE X

AMENDMENTS
These bylaws may be amended in whole or in part by the affirmative vote of two- thirds of the directors or of the membership voting thereon at a meeting held after due written notice setting forth the proposed action and the purpose of the meeting. Any Amendment adopted by the Board shall be reported to the Annual Meeting of the Corporation and, if not affirmatively approved thereat, shall cease to be in effect.

About the Coop

The Park Slope Food Coop, located in the heart of the Park Slope section of Brooklyn, New York, was founded in 1973 by a small group of committed neighbors who wanted to make healthy, affordable food available to everyone who wanted it. PSFC has more than 17,000 members, most of whom work once every four weeks in exchange for a 20-40% savings on groceries. Only members may shop at the PSFC, and membership is open to all.

The Coop carries a wide variety of products, including local, organic and conventionally grown produce; pasture-raised and grass-fed meat; free-range, organic and kosher poultry; fair-traded chocolate and coffee; wild and sustainably farmed fish; supplements and vitamins; imported and artisan cheese; freshly baked bread, bagels and pastries; bulk grains and spices; environmentally safe cleaning supplies, and much more. All of this, plus a large selection of standard supermarket items, makes the Coop a one-stop shopping destination. Sales are brisk at the PSFC and our inventory is replenished more than once every week, ensuring that the products we sell are as fresh as possible.

As a member of the Coop you share ownership of the Coop with 17,000+ fellow Coop members. You have a voice in the decision-making process and can participate in planning and discussions of the organization’s future. The Park Slope Food Coop is a member-owned and operated food store– an alternative to commercial profit-oriented business. As members, we contribute our labor: working together builds trust through cooperation and teamwork and enables us to keep prices as low as possible within the context of our values and principles. Only members may shop, and we share responsibilities and benefits equally. We strive to be a responsible and ethical employer and neighbor. We are a buying agent for our members and not a selling agent for any industry. We are a part of and support the cooperative movement. We offer a diversity of products with an emphasis on organic, minimally processed and healthful foods. We seek to avoid products that depend on the exploitation of others. We support non-toxic, sustainable agriculture.
